深石原则
公司法学（美）
衡平居次原则系美国最高法院于Taylor v. Standard Gas & Electric Co.案所确立之理论，因被告之从属公司为「深石」（Deep Rock）石油公司，故一般将此一理论称为「深石原则」。在本案中，法院认为深石公司身为被告之从属公司，其在成立之初，资本即已不足，且其业务经营完全受被告公司所控制，经营方法主要为被告公司之利益，因此判决被告公司对深石公司之债权应次于深石公司之其他债权受清偿。
